Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Server4Agent platform and API (the “Service”), operated by Server4Agent, Inc. (“we,” “our,” or “us”), located at 440 N Wolfe Rd, Sunnyvale, CA 94085, USA. By creating an account, using an API key, or otherwise accessing the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
1. The Service
Server4Agent provisions and manages compute servers (“Servers”) and project workspaces (“Projects”) that you and your AI agents can access via the Model Context Protocol (MCP) API or the web dashboard. We provide the platform; you are responsible for the workloads you deploy on it.
From time to time we may offer experimental or early-access features (“Beta Features”), labelled as such in the dashboard or documentation. Beta Features are provided “as is,” may change or be discontinued at any time without notice, and may be less reliable than generally available features.
2. Accounts and API keys
You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your password and API keys. All activity that occurs under your account or API keys, including activity performed by autonomous agents acting on your behalf, is your responsibility.
If you suspect that a key has been compromised, revoke it immediately in the dashboard. We are not liable for losses arising from unauthorised use of your credentials before you notify us.
3. Autonomous agents and agent accountability
The Service is designed to be called by AI agents operating autonomously. You acknowledge that:
- You are accountable for all actions taken by agents using your API keys, regardless of whether those actions were explicitly instructed, inferred, or the result of agent behaviour you did not anticipate.
- It is your responsibility to constrain agents appropriately, for example, by setting budget caps, scoping keys to the minimum necessary permissions, and reviewing agent outputs before they take irreversible actions.
- We may suspend or rate-limit servers that exhibit behaviour consistent with abuse, even if that behaviour was initiated by an agent rather than a human.
4. Acceptable use
You may not use the Service to:
- Distribute malware, ransomware, spyware, or other malicious software.
- Send unsolicited bulk communications (spam) or conduct phishing campaigns.
- Mine or generate cryptocurrency without our prior written consent.
- Launch denial-of-service attacks, port scans, or other offensive security operations against infrastructure you do not own and are not authorised to test.
- Store, transmit, or process child sexual abuse material or any content that exploits minors.
- Violate any applicable law or regulation, including export control and sanctions laws.
- Circumvent or attempt to circumvent our billing, rate limits, or security controls.
- Use the Service to build a product or service that directly competes with Server4Agent without our prior written consent.
We reserve the right to determine, in our reasonable discretion, whether use violates this section. Violations may result in immediate suspension or termination.
5. Your content and intellectual property
Code, files, and data you deploy on Servers belong to you. You grant us a limited, non-exclusive licence to host, process, and transmit your content solely as necessary to provide the Service. We do not use your content to train AI models. See our Privacy Policy for details.
You represent and warrant that you have all rights necessary to upload and use your content on the Service, and that doing so does not infringe any third party's intellectual property, privacy, or other rights.
Our trademarks. “Server4Agent” and our logos are our trademarks. You may not use them without our prior written permission, except to truthfully describe that you use the Service.
6. Copyright and DMCA notices
If you believe content hosted on a Project infringes your copyright, send a notice to legal@server4agent.com with: (a) identification of the copyrighted work; (b) the URL or other location of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorised; (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorised to act on the copyright owner's behalf; and (f) your physical or electronic signature.
We will remove or disable access to material we determine is infringing, notify the operator of the affected Project, and terminate the accounts of repeat infringers in appropriate circumstances. If you believe your content was removed in error, you may submit a counter-notice to the same address.
7. Billing and payment
Usage is metered in dollar-denominated credits and charged to the payment method on your account. The following billing terms apply:
- Budget caps. Your account carries a configurable budget cap. Once it is reached, further requests across the account are rejected until the cap is raised or the billing period resets. Caps are not a guarantee against all overage. Propagation delays mean a small amount of usage may occur above the cap.
- Accuracy of metering. We make commercially reasonable efforts to meter accurately. Disputes must be raised within 60 days of the relevant invoice.
- Taxes. Prices exclude applicable taxes. You are responsible for any sales, use, VAT, or similar taxes arising from your use of the Service.
- Failed payments. If a payment fails, we will retry and notify you. Accounts with overdue balances may be suspended until payment is resolved.
- Refunds. Credits are non-refundable except where required by law or at our sole discretion.
8. Service availability
We aim for high availability but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance, which we will communicate with reasonable notice where possible. We are not liable for losses caused by downtime, latency, or data loss arising from infrastructure failures outside our reasonable control.
We may add, change, or remove features at any time, including discontinuing Beta Features (see Section 1). For material reductions in core paid functionality, we will provide reasonable notice.
9. Suspension and termination
We may suspend or terminate your access immediately, without notice, if we reasonably believe you have violated these Terms or that your use poses a risk to the platform or other users. In other cases, we will provide reasonable notice.
You may close your account at any time by deleting it in settings or by contacting legal@server4agent.com. Upon termination: (a) your Servers are shut down; (b) your data is retained for up to 90 days and then deleted in accordance with our Privacy Policy; (c) accrued but unpaid charges remain due.
10. Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM OR (II) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Server4Agent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your content; or (d) the actions of any agent operating under your API keys.
14. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved informally will be submitted to binding arbitration under the AAA Commercial Arbitration Rules, conducted in English. Class action and jury trial rights are waived to the extent permitted by law.
Exceptions. Either party may bring an individual claim in small claims court instead of arbitration if it qualifies. Nothing here stops either party from seeking urgent injunctive relief in court to protect intellectual property or confidential information.
Opting out of arbitration. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@server4agent.com with your name and account email and a clear statement that you wish to opt out. If you opt out, disputes will instead be resolved in the state or federal courts located in Delaware, and you and Server4Agent both waive the right to a jury trial.
15. Changes to these Terms
We may modify these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or a prominent notice in the dashboard. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and close your account before the change takes effect.
16. General
- No third-party beneficiaries. These Terms are for the benefit of you and Server4Agent only. No other person or entity may enforce them, including end users of any Project you operate.
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Server4Agent regarding the Service and supersede all prior agreements.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, war, cyberattacks, or infrastructure outages by third parties.
